Website Terms of Use

1. Access Rights to RiskClima

 

RiskClima and E-ON grant you a non-transferable, non-exclusive, revocable, limited privilege to access RiskClima in accordance with these Terms of Use.

Restrictions: The rights approved to you in these Terms are subject to the following restrictions:

(a) All text, artwork, graphs, charts, reports, computer code etc. (collectively, the "Content"), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on RiskClima is destined to your personal, non-commercial use. The use of articles and documents classified as public is permitted in public communications if the source for the information has been stated.   

(b) You may not copy, reproduce, distribute, republish, download, display, post or transmit in any form or by any means unless otherwise indicated with commercial purpose any part of RiskClima. In addition, you may not place any part of the Content at net forums, conferences, third-party websites.

(c) You may not access RiskClima in order to build a similar or competitive website; and

(d) Except as expressly stated herein, any future release, update, or other addition to functionality of RiskClima shall be subject to these Terms.

 

You agree that RiskClima may, in its sole discretion and without prior notice, terminate your access to RiskClima and/or block your future access to RiskClima if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of RiskClima.

2. Copyrights

 

All the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in RiskClima and its content are owned by RiskClima and E-ON. Note that these Terms and access to RiskClima do not give you any rights, title or interest in or to any intellectual property rights, except for the limited access rights expressed in Section A. Access to RiskClima. RiskClima and E-ON reserve all rights not granted in these Terms. Any unapproved use of the Content will entail violation of copyright and trademark and other statutes.

All copyright and other proprietary notices on RiskClima must be retained on all copies thereof.

3. Use of RiskClima Software and Services

 

When you access software or services on RiskClima, your use is governed by the terms of “RiskClima SaaS License” and “RiskClima Service Level Agreement” and our “Privacy Policy” describing our policies and practices regarding your information and how RiskClima and E-ON will treat it.

 

RiskClima provides you with the software and services through E-ON INTEGRATION a Société Anonyme Corporation Registered in Greece.

 

4. Third-Party Links

RiskClima may contain links to third-party websites and services.  Such Third-Party Links are not under the control of RiskClima and E-ON, and RiskClima and E-ON are not responsible for them.  RiskClima and E-ON may provide access to these Third-Party Links only as a convenience to you, and do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links.  Your use of all Third-Party Links means that you apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party, the applicable third party's terms and policies apply, including the third party's privacy and data gathering practices.

5. Availability of the Site

 

RiskClima and E-ON make no representations and provide no warranties that:

1. RiskClima will be made available at any specific time or from any specific geographical location;

2. Your access to RiskClima will be continuous or uninterrupted;

3. RiskClima will be accessible or optimized on all browsers, computers, tablets, phones or viewing platforms.

4. RiskClima will meet your requirements of fitness for a particular purpose

 

RiskClima and E-ON reserve the right to do any of the following, at any time, without notice:

1. To modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason;

2. To modify or change the Site, or any portion of the Site, and any applicable policies or terms;

3. To modify, change or delete any Content, or any portion of the Content appearing on the Site;

4. To interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

 

You approve that RiskClima and E-ON will not be held liable to you or any third-party for any change, interruption, or termination of RiskClima or any part.

 

6. Changes to these Terms of Use and other documentation

 

RiskClima reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, Privacy Policy, Cookie Policy and any other documentation referred to in any of these documents at any time for any reason.

By continuing to access the Site after we have updated our Terms of Use, our Privacy Policy and/or our Cookie Policy, you confirm that you have read and agree to be bound by that updated version.

It is your responsibility to check these Terms of Use and all other documentation referred to in them each time you access our Site in order to ensure that you are aware of the terms that apply to you at that time.

The date that these Terms of Use and or any other documents (including our Privacy Policy and Cookies Policy) were last amended is set out at the top of that document and is described as that document’s “effective date”.

Communications between you and RiskClima or E-ON are done by electronic means, whether you use RiskClima or send us emails, or whether RiskClima and E-ON posts notices on RiskClima or communicate with you via email. For contractual purposes, you (a) consent to receive communications from RiskClima and E-ON in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that RiskClima and E-ON provides to you electronically satisfy any legal obligation that such communications would satisfy if it were be in a hard copy writing.

 

8. Unlawful or Prohibited Use

 

You must not use the Site with unlawful purpose. You may not use any automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site, or that interferes with any third party's use and enjoyment of the Site. You agree that you will not modify or cause to be modified any files that are available on the Site. You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. Any attempt by you to damage or undermine the legitimate operation of the Site is a violation of criminal and civil laws and, should such an attempt be made or assistance for such an attack be provided, RiskClima reserves the right to seek damages from any such user to the fullest extent permitted by law. RiskClima reserves the right to bar any such activity.

 

You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to RiskClima for which monetary damages would be inadequate, and you consent to RiskClima obtaining any injunctive or equitable relief that RiskClima deems necessary or appropriate in such circumstances.

 

9. Indemnity

 

You agree to indemnify and hold RiskClima, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys' fees), made against RiskClima by any third party due to or arising out of or in connection with your use of the Site.

 

10. Disclaimers

RiskClima does not promise that the Site or any Content, service or feature of the Site will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the Site will provide specific results. The Site and its Content are delivered on an "as-is" and "as-available" basis. All information provided on the Site is subject to change without notice. RiskClima cannot ensure that any files or other data you download from the Site will be free of viruses or contamination or destructive features. RiskClima disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose. RiskClima disclaims any and all liability for the acts, omissions and conduct of any third parties in connection with or related to your use of the Site and/or any RiskClima services. You assume total responsibility for your use of the Site and any Linked Site. Your sole remedy against RiskClima for dissatisfaction with the Site or any Content is to stop using the Site or any such Content. This limitation of relief is a part of the bargain between the parties.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

12. Entire Agreement 

 

These Terms constitute the entire agreement between you and us regarding the use of RiskClima. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.  Your relationship to RiskClima and E-ON is that of an independent user, and neither party is an agent or partner of the other.  These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without RiskClima and E-ON's prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.  RiskClima and E-ON may freely assign these Terms.  The terms and conditions set forth in these Terms shall be binding upon assignees.
